1. What this covers
This Policy explains how payments work when you use Knockio to invoice your customers, and what Knockio is and is not responsible for.
It forms part of the Knockio Terms and Conditions and is incorporated into them. Where this Policy and the Terms cover the same ground, this Policy applies to anything involving payments, payment records, and payment messages. The Terms apply to everything else.
Words we use. "You" or "Merchant" means the business using Knockio to send invoices. "Payer" means the person or business receiving your invoice. "Number" means NUMBER.tech, the independent payment processor that handles the actual payments, a registered Payment Facilitator of KeyBank. "Report" is not used here; "Payment Record" means the information Knockio stores about an invoice, such as the amount and whether it is due, paid, overdue, voided, or refunded.
2. Knockio is software. Knockio does not process payments.
Knockio gives you tools to create invoices, generate payment links, send reminders, and keep track of what has been paid. The payments themselves are handled entirely by NUMBER.
Knockio is not a payment processor, payment facilitator, payment aggregator, money transmitter, money services business, bank, escrow agent, or debt collector.
Knockio never:
- receives, holds, transmits, or controls your money or your Payer's money;
- authorizes, captures, settles, reverses, or refunds any payment;
- collects or stores your Payers' card numbers, security codes, or bank details;
- decides whether your payment account is approved, limited, or closed; or
- verifies how much anyone actually owes you.
Money moves between your Payer, NUMBER, and your own bank account. It never passes through Knockio.
3. Your payment account with NUMBER
NUMBER provides payment processing to you under a separate agreement between you and NUMBER. Knockio is not a party to that agreement and has no rights or authority under it.
How you are set up. NUMBER is a registered Payment Facilitator of KeyBank. You are boarded as a sub-merchant under NUMBER's programme, with your own merchant ID. This is not the same as having your own merchant account directly with a bank. NUMBER underwrites you, sets the terms on which you can accept payments, and carries risk to KeyBank for your activity. Please read NUMBER's sub-merchant agreement before you accept it.
How you get paid. Funds settle directly to the bank account you nominate.
NUMBER can hold your funds. Under its agreement with you, NUMBER has the right to place a reserve on your account, to hold or freeze funds, and to delay funding. This can affect when, and whether, you receive money your Payers have paid. Do not treat an invoice marked paid in Knockio as money you can spend until it has reached your bank account.
Knockio cannot step in. If NUMBER holds, freezes, delays, or reserves your funds, or limits, suspends, or closes your account, Knockio cannot reverse, appeal, or speed up that decision, and is not liable for it. Take it up with NUMBER directly.
Closure can follow you. If NUMBER ends your account for cause, you may be reported to card industry databases kept for that purpose. That listing is made by NUMBER or the card networks, not by Knockio, and it can affect your ability to get payment processing elsewhere. Knockio has no involvement in it and no ability to change it.
Where to ask. Questions about settlement timing, deposits, holds, reserves, funding delays, fees, underwriting, or account status go to NUMBER, not to Knockio.
4. Payment links and payment pages
A payment link created in Knockio is your link, running under your account with NUMBER. It is not a Knockio payment link, and nothing on it is sold by Knockio.
When your Payer opens that link, they land on a payment page hosted and controlled by NUMBER. Knockio does not control that page (not its design, the payment methods offered, its security, its availability, or anything that goes wrong with it). Knockio's involvement ends once the link is created.
5. What payment records mean
Knockio stores payment records so you can track your invoicing. Those records come from two places, and they mean different things.
Status reported by NUMBER. This is a convenience, not proof. It is not a bank statement, receipt, or evidence that money moved. If a Knockio record disagrees with NUMBER's records, NUMBER's records are correct. Status information can arrive late, twice, or not at all when there are network or system problems, so Knockio does not guarantee it is accurate, timely, or complete. An invoice marked paid means Knockio received information suggesting a payment was made, not that funds have cleared, settled, or reached you, and not that the payment cannot later be reversed.
Status you enter yourself. You can record a payment that did not go through NUMBER — cash, cheque, or a bank transfer. That entry is your own statement, not ours. Knockio has no way to check whether such a payment was ever requested, made, or received, and does not verify it. You are responsible for its accuracy and for anything that follows from getting it wrong, including any incorrect receipt, statement, or overdue notice.
Either way, reconcile. Check your payment activity against NUMBER's records and your own bank before relying on it for accounting, tax, or decisions about fulfilment or collections.
6. Invoices, reminders, and messages to your customers
Knockio can send invoices, payment links, reminders, and overdue notices to your Payers, including automatically on a schedule.
You are the sender. These messages are sent by you, in your name, at your direction. Knockio only delivers them. Knockio is not the sender of record, is not owed anything by your Payer, and makes no statement or demand to your Payer on its own behalf.
You control them. You decide whether they are sent, when, how often, and what they say. You can turn them off.
You confirm you may contact these people. You confirm you have a lawful basis, and any consent the law requires, to contact each Payer at the email address, phone number, or other details you give us, and that those details are correct and belong to the intended person.
You are responsible for compliance. That includes debt collection rules, laws on calls and text messages, email marketing laws, and consumer protection and disclosure rules. Where your Payer is an individual consumer rather than a business, more obligations may apply, and it is your job to identify and meet them.
Knockio does not collect debts. Knockio does not assess, verify, guarantee, negotiate, settle, or enforce any amount owed, does not take assignment of any debt, and collects nothing for itself from any Payer.
Opt-outs. If a Payer asks to stop receiving messages, or disputes an invoice, you must act on it promptly. If they contact Knockio instead, we may pass the request to you and may stop sending further messages to them, but we are not obliged to investigate or resolve it.
Knockio may limit or stop message delivery where we reasonably believe it breaches this Policy, the Terms, or the law.
7. Refunds, chargebacks, and disputes
This section is about refunds to your customers. Refunds of your Knockio subscription are covered in the Terms.
Refunds, chargebacks, and disputes on your Payers' payments are between you, your Payer, and NUMBER, under NUMBER's terms and the card network rules.
Knockio cannot issue or approve a refund, reverse or cancel a transaction, respond to a chargeback, or settle a dispute between you and a Payer. Knockio is not responsible for any chargeback fee, penalty, fine, or reserve charged to you.
Marking an invoice refunded, voided, or cancelled in Knockio updates the record only. It does not move money. Action refunds with NUMBER.
If you are a Payer, ask the business named on the invoice. Knockio cannot refund you.
8. Card data and account security
Your Payers enter their card or bank details directly on NUMBER's payment page. Knockio does not collect, transmit, or store card numbers, security codes, or bank account details at any time, and its systems sit outside the cardholder data environment for PCI DSS purposes.
You remain responsible for your own PCI DSS obligations and for any payment information you handle outside Knockio.
As under the Terms, you are responsible for keeping your Knockio login and your NUMBER account credentials secure, and for everything done using them — including payment links, records, and messages — whether or not you authorized it. Revoke and replace credentials promptly if they may have been exposed, and remove access for anyone who should no longer have it.
9. Your responsibilities
You are responsible for:
- the goods or services you sell, and all customer service relating to them;
- the accuracy of every invoice and message, including amounts, currency, terms, and due dates;
- working out, collecting, reporting, and paying all applicable taxes; Knockio does none of this and gives no tax advice;
- complying with the law that applies to your business and to each transaction and message;
- complying with NUMBER's terms, acceptable use policy, prohibited business list, and the card network rules;
- everything between you and your Payers, including your own terms, privacy notices, and disputes; and
- keeping your own records for accounting, audit, tax, and legal purposes.
You may not use Knockio's payment features for anything prohibited by NUMBER, by the card network rules, or by law; to disguise or misrepresent a transaction; to collect payments for an undisclosed third party; to collect a debt you do not own or are not authorized to collect; or to send messages that are harassing, deceptive, or abusive.
Knockio may suspend or end your access to the payment features, without notice, where we reasonably believe this Policy or the Terms have been breached, or where NUMBER, a card network, a regulator, or the law requires it.
10. What Knockio is paid
You pay Knockio subscription fees for the software, as set out in the Terms.
Processing fees, interchange, chargeback and dispute fees, minimums, and reserves are set and charged by NUMBER under your agreement with them. Knockio does not set, control, or collect those amounts.
Knockio also receives compensation from NUMBER in connection with customers who process payments through NUMBER. That compensation may be based on processing volume or on the NUMBER of customers using NUMBER. You should know three things about this:
- It does not change Knockio's role. Knockio still never receives, holds, or controls any funds, and does not process payments.
- Knockio has a financial interest in you using NUMBER. Take that into account when you evaluate them.
- Knockio does not represent that NUMBER offers the lowest rates or the best terms for your business, and nothing Knockio says about NUMBER is a recommendation or advice. Compare them independently.
11. No warranty
Knockio's payment features depend on NUMBER's systems and on third-party communications providers.
Knockio does not warrant that payment links will generate, resolve, or work; that NUMBER's payment pages will be available; that any message will be delivered; or that any payment will be initiated, authorized, completed, settled, or paid out.
If NUMBER's service, or any communications provider, is interrupted, degraded, or fails, that is not a failure of Knockio and not a breach of the Terms by Knockio.
As under the Terms, the payment features are provided "as is" and "as available", without warranties of any kind.
12. Limits on Knockio's liability
To the fullest extent the law allows, and in addition to the limits in the Terms, Knockio is not liable for any loss arising from:
- anything NUMBER does or fails to do, including its negligence, breach, insolvency, or withdrawal of service;
- any payment that fails, is declined, delayed, duplicated, misdirected, incomplete, or unauthorized;
- any fraudulent or disputed transaction, or any chargeback, reversal, fine, or penalty resulting from one;
- any hold, freeze, reserve, delay, deduction, or non-payment of funds by NUMBER;
- NUMBER limiting, suspending, or closing your account, or reporting you to a card industry database;
- any error, delay, or omission in a payment record, whether it came from NUMBER or from you;
- any message sent through Knockio, including its content, timing, delivery, or non-delivery;
- anything you, a Payer, or anyone else decides or does in reliance on a payment record or a message;
- any dispute between you and a Payer; or
- any tax, regulatory, licensing, or compliance obligation of yours.
Knockio's total liability relating to payments is subject to the limits, exclusions, and monetary cap in the Terms.
13. Indemnity
In addition to the indemnity in the Terms, you will defend, indemnify, and hold harmless Knockio and its officers, directors, employees, agents, successors, and assigns against any claim, proceeding, loss, liability, damage, fine, penalty, cost, or expense (including reasonable legal fees) arising from:
- any claim by a Payer about a transaction, invoice, payment link, message, refund, or dispute involving you;
- any claim by NUMBER about your account, your transactions, or your breach of their terms;
- any claim or investigation by a regulator, tax authority, attorney general, card network, or similar body about your business, transactions, or messages;
- any message sent by you or at your direction, including any alleged breach of debt collection, telephone, electronic communications, consumer protection, or data protection law; or
- your breach of this Policy, the Terms, or the law.
14. Data protection
Card details. Your Payers' card and bank details are collected by NUMBER on its own pages, as an independent controller under its own privacy notice. NUMBER does not handle them for Knockio or on Knockio's instructions, and Knockio never receives them.
Payer data in Knockio. The contact details, invoice data, payment records, and messages held in Knockio are processed by Knockio as your processor, on your instructions. You are the controller.
What that means for you. You are responsible for having a lawful basis to collect and give us your Payers' information, for giving them any privacy notice the law requires, for answering their data protection requests, and for the accuracy of the contact details you supply. If a Payer contacts Knockio directly, we will refer them to you.
Your own account data (your contact, billing, and usage information) is handled by Knockio as a controller under the Privacy Policy.

15. If you received an invoice
If an invoice, payment link, or reminder reached you through Knockio:
- The business named on the invoice is asking you to pay, not Knockio. Knockio is the software they use. Knockio is not selling you anything and you owe Knockio nothing.
- NUMBER processes the payment, under that business's account. Knockio never receives or holds your money.
- Knockio does not store your card or bank details.
- Knockio has no agreement with you and cannot issue a refund, cancel a charge, settle a billing dispute, confirm what you owe, or answer questions about what you bought.
Send all questions about the invoice, the amount, a refund, or your purchase to the business named on it.
If you think a charge is fraudulent, contact your card issuer or bank. To stop receiving messages, use the opt-out in the message or contact that business. You can also email support@knockio.com and we will pass your request on and may stop further messages to you.
16. General
Records when you leave. Payment records are handled as set out in the Terms and the Privacy Policy. Export what you need before your account closes. Closing your Knockio account does not close, change, or transfer your account with NUMBER — handle that with them separately.
No advice. Nothing here is legal, tax, accounting, financial, or regulatory advice. Get your own.
What survives. Sections 2, 3, 5, 7, 9, 10, 12, 13, 14, 15, and this Section 16 continue to apply after your account or this Policy ends, along with anything else that by its nature is meant to.
Changes. We may update this Policy. If a change is material we will give notice through the Services or by email. Continuing to use the payment features after it takes effect means you accept it.
Law. This Policy is governed by the laws of the State of South Carolina and is subject to the dispute resolution provisions in the Terms.
